Nezzie™ Terms of Use

1. Introduction

Welcome to Nezzie™, a technology platform that enables Users to connect with independent Peer Advocates (“Advocates”) for peer-based dispute advocacy, communication assistance, and general guidance through live three-way calls.

By accessing, registering for, or using Nezzie™ in any manner, you agree to be legally bound by these Terms of Service (“Terms”), the Nezzie™ Privacy Policy, and any policies incorporated by reference.

If you do not agree, you must not access or use the platform.

2. Mission & Intended Purpose

Nezzie™’s mission is to operate as a neutral, technology-driven marketplace that facilitates voluntary peer-to-peer communication support.

Nezzie™ is intentionally limited in scope and exists solely to:

  • Facilitate connections between Users and Advocates
  • Enable communication assistance and peer perspectives
  • Support user-controlled dispute conversations

Nezzie™ does not:

  • Provide licensed, regulated, or professional services
  • Represent Users in disputes
  • Control or supervise Advocate communications
  • Influence or guarantee outcomes

Use of the platform outside this intended purpose is prohibited.

3. Nature of Services & Platform Role

Nezzie™ is a marketplace facilitator only.

  • Advocates are independent contractors, not employees, agents, partners, or legal representatives of Nezzie™.
  • Nezzie™ does not provide legal, medical, financial, mental health, or other licensed professional services.
  • All guidance provided by Advocates constitutes personal opinion only.
  • Nezzie™ does not verify, endorse, or guarantee Advocate qualifications, accuracy, or results.

Users engage with Advocates entirely at their own risk.

4. Advocate-Only Terms

By acting as an Advocate, you expressly agree to the following:

4.1 Independent Contractor Status

Advocates operate as independent contractors and are solely responsible for:

  • Taxes, insurance, licenses, and regulatory compliance
  • Their own conduct and statements
  • Any services provided to Users

No employment, agency, partnership, or fiduciary relationship is created.

4.2 Professional Conduct

Advocates must:

  • Comply with all applicable laws
  • Avoid harassment, discrimination, retaliation, or misconduct
  • Follow all Nezzie™ policies and community guidelines
4.3 Confidentiality & No Recording

Advocates must not record, screenshot, store, transmit, or disclose any interaction or user information unless legally required.

4.4 No Guarantees

Advocates may not promise outcomes, results, or success.

4.5 Liability Waiver & Indemnification

Advocates release, indemnify, and hold harmless Nezzie™ from all claims, disputes, damages, or liabilities arising from interactions with Users.

4.6 Tax Reporting

Advocate earnings may be reported to tax authorities, including IRS Form 1099 where applicable.

5. User Conduct

Users agree not to:

  • Engage in fraud, harassment, abuse, or illegal activity
  • Circumvent Nezzie™’s payment systems
  • Record, share, or store Advocate interactions
  • Create multiple or deceptive accounts

Violations may result in suspension, termination, or legal action.

6. Account Registration & Security

  • Users and Advocates must provide accurate and complete information.
  • You are responsible for all activity conducted under your account.
  • Nezzie™ may suspend or terminate accounts that provide false information or violate these Terms.

7. Payments, Fees & Chargebacks

  • Platform Fee: 20% per transaction
  • Processing Fees:
    • $2 for services under $40
    • 5% for services $40+
  • Tips are retained to support platform operations.

Nezzie™ is not responsible for chargebacks, unauthorized payments, or payment disputes between Users and Advocates.

8. Intellectual Property

  • Users retain ownership of the content they create.
  • Users grant Nezzie™ a worldwide, non-exclusive, royalty-free license to use content for platform operation, promotion, and marketing.
  • Nezzie™ may remove content that violates these Terms.

9. Confidentiality & Data Protection

  • Recording or sharing conversations without authorization is strictly prohibited.
  • Personal data is processed in accordance with GDPR, CCPA/CPRA, and applicable privacy laws.
  • Limited metadata may be retained for security, billing, and compliance purposes.

10. No Reliance & Assumption of Risk

Users and Advocates acknowledge that:

  • Platform content is not relied upon as professional or expert advice.
  • All decisions are made independently.
  • All risks arising from interactions are voluntarily assumed.

11. Platform Safety & Emergency Disclaimer

Nezzie™ is not an emergency service. Users must seek appropriate emergency or professional services for urgent matters.

12. No Duty to Monitor

Nezzie™ has no obligation to monitor, review, or intervene in communications or conduct. Any voluntary moderation does not create a duty or liability.

13. Reviews, Ratings & Feedback

Reviews and ratings reflect subjective opinions only and do not constitute endorsements or guarantees by Nezzie™.

14. Third-Party Advertising & Sponsored Content

  • Advertisers are solely responsible for the legality and accuracy of their content.
  • Sponsored content may be labeled accordingly.
  • Nezzie™ does not endorse third-party offerings.

15. Refund Policy

Refunds are discretionary. Requests must be submitted within five (5) days. Completed services are generally non-refundable unless agreed to in writing.

16. Arbitration, Class Waiver & Governing Law

All disputes involving Nezzie™ shall be resolved through binding arbitration under AAA or JAMS rules.

  • No class, collective, or representative actions are permitted.
  • Governing Law: Delaware, USA
  • Arbitration provisions survive termination.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Nezzie™ is not liable for indirect, incidental, or consequential damages.
  • Total liability is capped at the fees paid for the transaction at issue.

Services are provided “as is” without warranties.

18. Taxes

Advocates are solely responsible for all applicable taxes. Nezzie™ does not provide tax advice or withhold taxes except as legally required.

19. Assignment, Waiver & Severability

  • Users may not assign rights without consent.
  • Nezzie™ may assign freely.
  • Invalid provisions are severed without affecting enforceability.
  • Headings do not affect interpretation.

20. Age & Legal Capacity

Use is limited to individuals 18 years or older with legal capacity to contract.

21. Clickwrap Acceptance

By clicking “I Agree,” Users and Advocates enter a legally binding agreement compliant with Apple and Google requirements.

22. Final Compliance Statement

Nezzie™ operates as a neutral technology marketplace. It does not provide professional services, does not record communications, and does not assume liability for user interactions. All Users and Advocates affirmatively consent to these Terms prior to accessing the platform.
